Terms of Service

Please read these Terms of Service ("Terms") carefully before using COADFLY's website and services. These Terms constitute a legally binding agreement between you ("Agent," "User," "you") and COADFLY, Inc. ("COADFLY," "we," "us," "our").

By accessing or using our Services, creating an account, or making a purchase, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our Services.

1. Description of Services

COADFLY provides a done-for-you AI marketing automation platform designed for licensed real estate professionals. Our Services include:

• Automated AI-generated social media content creation and publishing, under your own brand
• AI video avatar creation and weekly market-update video production
• Automated email marketing campaigns within the monthly allowance for your plan, subject to the delivery safeguards in Section 11
• Listing announcement campaigns and open house marketing
• Bilingual content creation (English and/or Spanish)
• Analytics reporting and performance tracking

2. Eligibility

To use our Services, you must:

• Be at least 18 years of age
• Be a licensed real estate professional or authorized representative of a real estate business
• Provide accurate and complete registration information
• Have the legal authority to enter into this agreement

COADFLY reserves the right to refuse service to anyone at our sole discretion.

3. Subscription Plans and Pricing

COADFLY offers standalone products and fully managed Autopilot plans.

Standalone products:

Autopilot plans (fully managed):

The AI Video Clone (video-to-video AI avatar) is included in all Autopilot plans. Autopilot Basic includes a 7-day free trial. Bilingual (English/Spanish) content is available as an add-on, priced per content type; applicable add-on pricing is shown at checkout. One-time setup fees may apply to certain plans and are disclosed at checkout before purchase. Team and brokerage pricing is custom-quoted and established via Strategy Call. All prices are in USD and subject to change with 30 days' notice.

4. Free Trial

Autopilot Basic includes a 7-day free trial. A valid payment method is required to start the trial, but you will not be charged when the trial begins. Unless you cancel before the trial ends, your paid monthly Autopilot Basic subscription begins automatically at $99/month and your payment method will be charged.

Free trials are available to new customers only. COADFLY reserves the right to limit or revoke free trial access at any time.

5. Billing and Payment

After any applicable trial, paid subscriptions are billed monthly on the subscription billing date. Payments are processed securely via Stripe. By providing payment information, you authorize COADFLY to charge your payment method for the applicable subscription fees.

Setup fees, where applicable, are charged at the time of your first payment and are non-refundable. Setup fees cover the work required to build your brand system, AI avatar, and automation workflows.

If a payment fails, we will attempt to retry the charge. If payment cannot be collected, your account may be suspended until payment is resolved.

6. Cancellation and Refunds

You may cancel your subscription at any time from your agent dashboard. Cancellation takes effect at the end of your current billing period — you will retain access to your account until that date.

Monthly subscription fees are non-refundable. If you cancel mid-month, you will not receive a prorated refund for the remainder of the billing period.

Setup fees are non-refundable under any circumstances, as they cover work already performed.

There are no long-term contracts or cancellation penalties on monthly billing.

7. Real Estate Compliance

You are responsible for ensuring that all content produced by COADFLY on your behalf complies with the laws, regulations, and rules of your state real estate licensing authority and brokerage. COADFLY will apply your license number and brokerage logo to social media posts and videos as provided by you during onboarding.

Important: Equal Housing Opportunity marks and MLS disclosures are applied to print materials (postcards, flyers, mailers) only. You are responsible for verifying that all content meets your specific compliance requirements before it is published. COADFLY provides a compliance overlay review process during onboarding for this purpose.

COADFLY is not a licensed real estate brokerage and does not provide real estate, legal, or compliance advice. You indemnify COADFLY against any claims arising from compliance failures in your content.

8. Content Ownership and License

Your content: You retain ownership of all brand assets you provide to COADFLY (headshots, logos, brand colors, etc.). By providing these assets, you grant COADFLY a limited license to use them solely for the purpose of creating and publishing content on your behalf.

AI-generated content: Content created by COADFLY's AI systems on your behalf is assigned to you upon creation. You own the output. COADFLY retains no ownership rights to content created for your account.

AI avatar: Your AI video avatar is created from materials you provide and is licensed exclusively to you. COADFLY will not use your likeness for any other purpose.

9. Acceptable Use

You agree not to use our Services to:

• Publish false, misleading, or fraudulent real estate information
• Violate any applicable laws or regulations
• Infringe on the intellectual property rights of others
• Harass, defame, or discriminate against any person or group
• Violate Fair Housing laws or anti-discrimination regulations
• Use our platform to promote services unrelated to your licensed real estate business

COADFLY reserves the right to suspend or terminate accounts that violate these terms without refund.

10. Social Media Account Authorization

By connecting your social media accounts to COADFLY, you authorize us to publish content to those accounts on your behalf. You may revoke this authorization at any time from your agent dashboard or directly through the relevant social media platform. COADFLY is not responsible for any content published to accounts after authorization has been revoked if a delay occurs due to scheduled posts.

11. Email Marketing

Autopilot Basic includes 10,000 email sends per month, Autopilot Pro includes 25,000, and Autopilot Max includes 50,000 when that plan becomes available. The VA-managed Monthly Newsletter is available with Autopilot Pro and higher plans. Additional allowance may be granted or purchased when offered. Actual throughput is subject to the connected delivery provider's capacity, sender-domain reputation, consent and suppression requirements, anti-abuse controls, and deliverability safeguards. You are responsible for ensuring your contact lists comply with applicable email marketing laws (including CAN-SPAM and CASL) and for the accuracy of the contacts you provide. COADFLY is not responsible for the deliverability of individual messages or for your compliance with applicable email marketing laws.

12. Limitation of Liability

To the maximum extent permitted by law, COADFLY shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, lost leads, or business interruption, arising from your use of our Services.

COADFLY's total liability to you for any claim arising from these Terms or your use of our Services shall not exceed the total amount paid by you to COADFLY in the 3 months preceding the claim.

13. Disclaimer of Warranties

Our Services are provided "as is" and "as available" without warranties of any kind, express or implied. COADFLY does not warrant that our Services will be uninterrupted, error-free, or that AI-generated content will meet all of your specific requirements. Results — including lead generation, engagement, and business growth — are not guaranteed.

14. Indemnification

You agree to indemnify, defend, and hold harmless COADFLY, Inc. and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including attorneys' fees) arising from your use of our Services, your violation of these Terms, or your violation of any applicable laws or third-party rights.

15. Governing Law

These Terms are governed by the laws of the State of Nevada, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the courts of Clark County, Nevada.

16. Changes to These Terms

COADFLY may update these Terms at any time. We will notify you of material changes by email at the address on your account or by posting a notice on our website. Your continued use of our Services after changes take effect constitutes your acceptance of the updated Terms.

17. Termination

Either party may terminate this agreement at any time. COADFLY may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or fail to pay applicable fees. Upon termination, your access to the Services will cease and your data will be retained for 90 days before permanent deletion.
